Idaho Registered Agent Requirements
Every Idaho LLC must keep a registered agent on file with the Secretary of State for as long as the company exists. The duty comes from Idaho Code § 30-21-402, and the designation itself is governed by § 30-21-404. Idaho built these rules on the Model Registered Agents Act framework (Part 4 of Chapter 21, Title 30), which is why the state formally distinguishes commercial registered agents from noncommercial ones.
Who Can Serve
Under the Secretary of State's filing instructions, a registered agent may be:
- an Idaho resident serving as an individual agent, or
- a business entity that holds its own registration with the Secretary of State.
An assumed business name cannot serve as a registered agent. Idaho wants an actual person or a registered entity behind the designation, not a trade name.
The Address Rule
The designation only works with a physical street address inside Idaho. Two address types fail the test outright: post office boxes and commercial personal mail boxes (PMBs). The agent should also be reachable at that address during regular business hours, since the whole point of the role is that someone is there when documents arrive.
