Idaho LLC Annual Report and Ongoing Requirements
Idaho charges nothing for its LLC annual report. That is the good news, and it is real: filed online, the report is $0 every single year. The catch is on the other side of the ledger. Idaho is unusually quick to dissolve companies that skip the filing, so the report deserves a firmer spot on your calendar than its price tag suggests.
When the Idaho Annual Report Is Due
The report is due by the last day of your LLC's anniversary month each year (Idaho Code § 30-21-213). You can submit any time during the anniversary month itself, from its first day to its last. An LLC organized on March 12, for example, files between March 1 and March 31 every year afterward.

Filed online through SOSBiz, the report is free. The only way to pay anything is to file on paper, which Idaho allows only in person at the Boise office and which carries a $20 manual processing surcharge under Idaho Code § 30-21-214. There is no scenario where an online filer owes the state money for this report.

- Open the My Records dashboard and select your LLC.
- Verify the pre-filled record data: entity name and jurisdiction of formation, registered agent information, the street and mailing addresses of the principal office, and the name of at least one governor (a member or manager). Everything must be accurate as of the date you sign.
- Submit. For an online filing there is no payment step.
Two limits are built into the report. It cannot change your company name; that takes a separate Amendment filing. And if you enter registered agent details that differ from state records, Idaho treats the entry as a statement of change under Idaho Code § 30-21-407.
Miss the Deadline and the Clock Runs Fast
Idaho skips the late-fee stage other states use. An LLC that has not filed by the end of its anniversary month is delinquent, and administrative dissolution follows roughly 60 days after the due date under Idaho Code § 30-21-602. An out-of-state LLC registered in Idaho faces the parallel penalty: revocation of its certificate of authority under § 30-21-511. Either way the company loses its good standing and its liability shield until it is brought back, so the free report is only free if you actually file it.
